Welcome to Twocents! These Terms of Use ("Terms") govern your access to and use of the Twocents platform, website, and associated services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Definitions

For purposes of these Terms:

• "Patron" means an individual user who submits feedback, suggestions, or other content through the Twocents platform.
• "Business" means a merchant, business entity, or organization that uses Twocents to receive, view, manage, or respond to Patron feedback.
• "User" means any Patron or Business accessing or using the Services.

2. Acceptance of Terms

By creating an account or using the Services, you agree to these Terms, our Privacy Policy, and any other policies or guidelines we provide. If you are accessing the Services on behalf of a Business, you represent that you have the authority to bind that Business to these Terms.

3. Eligibility

You must be at least 13 years old to use the Services. By using the Services, you represent that you meet this minimum age requirement.

4. Account Registration

For Patrons

• Account Creation: Patrons must create an account to submit feedback and participate in rewards or other platform features. A valid email address or phone number is required, and a name may be optionally provided.
• Account Security: Patrons are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account.

For Businesses

• Account Creation: Businesses must create an account using an email address or phone number. Businesses may access Patron feedback and can subscribe to paid plans for additional features.
• Account Security: Businesses are responsible for maintaining the confidentiality of login credentials and must immediately notify Twocents of any suspected unauthorized access.

5. Use of Services

Permitted Use: Users may use the Services only in accordance with these Terms and applicable laws.

Prohibited Conduct: Users agree not to:

• Use the Services for unlawful purposes.
• Impersonate another person or misrepresent your affiliation.
• Interfere with or disrupt the integrity or security of the Services.
• Collect or store personal information of other Users without consent.

Twocents reserves the right to investigate and take appropriate action for violations of these Terms.

6. Submissions and User Content

Patron Submissions

By submitting feedback or other content, Patrons grant Twocents a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely for the purpose of providing the Services.

Anonymous Submissions

Patrons may submit feedback anonymously. If a Patron chooses to include their name during submission or account setup, that name may be visible to the receiving Business.

Prohibited Content

Users may not submit content that is defamatory, obscene, abusive, harassing, or otherwise unlawful.

7. Plans, Subscriptions, and Payments (For Businesses)

Plans

Twocents offers a free Basic plan and a paid Plus subscription plan. Plus provides access to additional features beyond the Basic plan. Features may change or evolve over time.

Merchant of Record

Paid Plus subscriptions are processed by Paddle.com, which acts as the merchant of record. Paddle is responsible for payment processing, billing, invoicing, and applicable tax collection. By subscribing, you agree to Paddle's applicable terms and policies in addition to these Terms.

Billing and Renewal

Plus subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) and automatically renew unless canceled before the end of the current billing period.

Cancellation

You may cancel your Plus subscription at any time through your account dashboard or by contacting customer support. Cancellation will take effect at the end of the current billing period.

8. Trial and Promotional Access

Twocents may offer free, trial, or promotional access to Plus features for a limited period without requiring payment information. At the end of such access, Plus features may be paused unless you choose to subscribe. Trial or promotional access may be modified or discontinued at any time.

9. AI-Powered Features Disclaimer

Certain features of the Services may include AI-assisted summaries, suggested responses, or other automated outputs. These features are provided for informational and assistive purposes only.

Twocents does not guarantee the accuracy, completeness, or appropriateness of AI-generated content. Businesses are solely responsible for reviewing, editing, approving, and using any AI-assisted output before communicating with Patrons or taking action based on such content.

10. Business Responsibility for Responses and Offers

Businesses are solely responsible for:

• The content of their responses to Patrons
• Any offers, promotions, discounts, or incentives extended through the Services
• The fulfillment, honoring, and legal compliance of such offers

Twocents is not responsible for disputes, claims, or liabilities arising from Business communications, offers, or fulfillment.

11. Ownership and Intellectual Property

Twocents and its licensors retain all rights, title, and interest in the Services, including intellectual property rights. Users are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

12. Data Ownership, Privacy, and Export

Patron Data

Feedback and personal data are collected and processed in accordance with Twocents' Privacy Policy.

Business Access

Businesses may access feedback and aggregated insights through the Services. If a Patron submits feedback with identifying information, such information may appear in Business dashboards and exports.

Use Restrictions

Businesses may use feedback data only for legitimate customer service or experience improvement purposes and may not sell or misuse such data.

13. Privacy

Your use of the Services is subject to our Privacy Policy. By using the Services, you consent to the collection and use of information as described therein.

14. Termination

By You: You may stop using the Services at any time.

By Us: Twocents may suspend or terminate access to the Services or certain features if you violate these Terms, fail to maintain an active subscription for paid features, or engage in activity that compromises the integrity of the Services.

15. Disclaimers and Limitation of Liability

Service Disclaimer

The Services are provided "as is" and "as available." Twocents does not warrant that the Services will be uninterrupted, error-free, or free of data loss.

Limitation of Liability

To the maximum extent permitted by law, Twocents shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Liability Cap

In no event shall Twocents' total liability arising out of or related to the Services exceed the total amount paid by the Business to Twocents for the Services in the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless Twocents and its affiliates, officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

17. Dispute Resolution

These Terms are governed by the laws of the State of New Jersey. Any disputes arising from these Terms shall be resolved through binding arbitration in New Jersey in accordance with the rules of the American Arbitration Association (AAA).

18. Changes to These Terms

Twocents may update these Terms from time to time. Material changes will be posted on the website and reflected by an updated "Last Updated" date.
